What Is an LLC in Missouri?

Missouri’s Limited Liability Company Act (Revised Statutes of Missouri (RSMo) §§ 347.010 to 347.187) authorizes the formation of a business entity that combines personal asset protection for its owners with broad operational flexibility. The owners of a Missouri LLC, its members, are not personally responsible for the company’s debts or obligations; their exposure is capped at what they contribute to the business.

The statute leaves much of the LLC’s internal governance to the members themselves. Under RSMo § 347.079, the articles of organization must declare whether management rests with the members collectively or with one or more designated managers, and the operating agreement may further refine that arrangement in nearly any direction the members choose. For federal tax purposes, the IRS classifies a single-member LLC as a disregarded entity and a multi-member LLC as a partnership by default, though either may elect corporate treatment by filing IRS Form 8832. Missouri levies no franchise tax and no annual report fee on LLCs—an uncommon advantage that keeps ongoing state compliance costs at zero after formation.

Missouri LLC Name Search

The proposed name for a Missouri LLC must be distinguishable on the Secretary of State’s records from every other domestic or foreign entity, whether a corporation, limited partnership, limited liability partnership, or another LLC already licensed, organized, reserved, or registered in the state. RSMo § 347.020 governs naming and mandates that every LLC name include at least one of these designators: “Limited Company,” “Limited Liability Company,” “LC,” “LLC,” “L.C.,” or “L.L.C.” The statute separately bars an LLC from incorporating the terms “corporation,” “incorporated,” “limited partnership,” “limited liability partnership,” “limited liability limited partnership,” or “Ltd.” or any abbreviation of them into its name.

Words that suggest a regulated industry, such as “bank,” “insurance,” or “trust,” may require approval from the relevant Missouri licensing authority before the Secretary of State will accept the filing. To check whether a proposed name is available, search the Missouri Secretary of State Business Entity Search. A clean result in the online search is helpful but not dispositive—the Secretary of State makes the final determination when reviewing the articles of organization.

Name Reservation: An organizer who wants to hold a name before filing may reserve it for 60 days by submitting a reservation application through Missouri Business Filings and paying $25. The reservation may be renewed for two additional 60-day periods, extending the hold to a maximum of 180 days total. Once the third period expires, that party is permanently barred from reserving the same name again, though it may still be used in a formation filing if available at that time.

Choosing an LLC Registered Agent in Missouri

Missouri requires every LLC to continuously maintain a registered agent and a registered office within the state for as long as the entity exists. The registered agent’s role is to accept service of process, government notices, and other legal correspondence directed to the LLC, and RSMo § 347.033 treats proper service on the agent as lawful personal service on the company itself.

Two categories of persons may serve as a registered agent. An individual agent must be a Missouri resident whose business office is at the same physical street address as the LLC’s registered office. Alternatively, a domestic or foreign corporation authorized to transact business in Missouri may serve, provided its business office matches the registered office address. The LLC itself cannot serve as its own agent, and RSMo § 347.030 expressly prohibits the Secretary of State from being appointed as an LLC’s registered agent except in narrow default circumstances described in RSMo § 347.153.

The registered office must be a physical street address, not a P.O. Box, virtual office, or mail drop, where the agent is available during regular business hours. Before an organizer names someone as the LLC’s registered agent in the articles of organization, the designated person or entity must provide written consent. The Secretary of State offers a Consent to Appointment of Registered Agent form for this purpose. If the LLC fails to maintain a registered agent and neither an authorized person nor an organizer can be located with due diligence, RSMo § 347.033 automatically appoints the Secretary of State as the LLC’s default agent—and the resulting inability to control where legal process lands is a risk no organizer should accept.

LLC Filing Requirements in Missouri

A Missouri LLC comes into existence when the signed articles of organization are delivered to and filed with the Secretary of State, or on a later date specified in the document, which may be no more than 90 days after filing. RSMo § 347.037 permits any person, whether or not a prospective member, to organize the LLC. The official formation document is Form LLC 1 — Articles of Organization for a Limited Liability Company.

RSMo § 347.039 specifies six items the articles must contain:

  • The LLC’s name, including an approved designator
  • The purpose or purposes for which it is organized, which may be stated as “any or all lawful business”
  • The street address of the registered office and the name of the registered agent at that address
  • Whether management of the LLC is vested in its members or in one or more managers
  • The events triggering dissolution or the duration of the LLC, which may be perpetual
  • The name and physical business or residence address of each organizer

The articles may also include additional provisions from the operating agreement that are not inconsistent with Chapter 347 or other law.

  • Online: File electronically through Missouri Business Filings. The filing fee is $50. Electronic payments incur a small convenience fee collected by the payment processor, not by the state. The portal does not require an account to be created in advance, and filings are typically processed promptly upon submission.
  • By Mail: Send the completed Form LLC 1 with a check or money order for $105 payable to “Secretary of State” to Corporations Division, P.O. Box 778, Jefferson City, MO 65102. For express deliveries requiring a physical address, use the Missouri State Information Center, 600 W. Main St., Jefferson City, MO 65101. Mail filings generally take three to four weeks to process.

Once filed, the Secretary of State returns a stamped copy of the articles. RSMo § 347.037 provides that this stamped copy is “conclusive evidence that all conditions precedent required to be performed by the organizers have been complied with and that the limited liability company has been legally organized.” Missouri does not require newspaper publication after formation, nor does it require any initial report from an LLC.

Note: The LLC may not transact business or incur debts—other than those incidental to its organization or to obtaining capital contributions—until the articles of organization have been filed or the delayed effective date has arrived. Persons who engage in other pre-filing activities face joint and several personal liability for any resulting debts.

LLC Operating Agreement in Missouri

Missouri law imposes an affirmative obligation on every LLC to adopt an operating agreementRSMo § 347.081 directs that “the member or members of a limited liability company shall adopt an operating agreement containing such provisions as such member or members may deem appropriate.” The agreement remains an internal document; it is never filed with the Secretary of State, but it is the primary instrument governing the LLC’s management, finances, and member relations.

The same statute declares a strong freedom-of-contract policy, providing that Missouri law is intended “to give the maximum effect to the principle of freedom of contract and to the enforceability of operating agreements.” That latitude allows the members to tailor provisions covering management authority and voting rights, classes of membership interests, allocation of income and losses, restrictions on the transfer of interests, tax elections, and procedures for admitting or removing members.

Where the operating agreement is silent, the statute fills in default rules, and those defaults may not match the members’ expectations. Under RSMo § 347.065, if the articles specify member management, every member acts as an agent of the LLC and can bind the company in the ordinary course of business; if manager management is chosen, members acting solely in their capacity as members have no agency authority. RSMo § 347.079 further provides that, without a contrary agreement, the unanimous vote of all members is required to amend the operating agreement, issue new membership interests, approve a merger, or change the management structure. Even a sole-member LLC benefits from a written operating agreement, because it documents the boundary between the member’s personal assets and the LLC’s assets — a distinction courts scrutinize when limited liability is challenged.

How to Get an EIN for an LLC in Missouri

An Employer Identification Number (EIN) is the nine-digit federal tax identifier the IRS assigns to businesses, and a Missouri LLC needs one whenever it hires employees, elects corporate tax classification, or opens certain financial accounts. A single-member LLC with no employees and no special tax election is not legally required to obtain an EIN, but in practice, most banks will insist on one before opening a business account, and applying for one costs nothing.

The IRS EIN Online Application is the fastest route—it issues the number immediately at the end of the session. The tool operates Monday through Friday, 7:00 a.m. to 10:00 p.m. Eastern Time, and requires the applicant to have a valid Social Security Number or Individual Taxpayer Identification Number. The LLC must be located in the United States or a U.S. territory.

Organizers who prefer a paper filing may complete IRS Form SS-4 and submit it by fax, with a turnaround of roughly four business days, or by mail, which takes approximately four to five weeks. Every EIN application must identify the LLC’s responsible party, the individual who owns, controls, or exercises effective authority over the entity, and the disposition of its funds and assets. For most single-member LLCs, the sole member fills this role.

Registering for State Taxes in Missouri

Missouri does not impose a franchise tax, privilege tax, or any other entity-level charge on LLCs that retain default pass-through tax treatment. Income earned by the LLC flows through to the members’ individual Missouri income tax returns, and the LLC itself has no separate state income tax filing obligation unless it has elected to be taxed as a corporation with the IRS, in which case it must file a Missouri corporate income tax return with the Department of Revenue.

An LLC that sells tangible personal property or provides taxable services within Missouri must obtain a sales tax license before collecting tax. The state sales tax rate is 4.225%, and most transactions are also subject to local sales and use taxes imposed by cities, counties, and special districts. Combined rates vary by location and can exceed 10%. Registration for sales tax, vendor’s use tax, consumer’s use tax, withholding tax, and corporate income tax (where applicable) is handled through the Missouri Department of Revenue’s online registration system. Registering as an Employer in Missouri

An LLC that brings on employees in Missouri triggers registration obligations with multiple state agencies covering unemployment insurance, income tax withholding, and workplace injury protection. These registrations should be completed before or promptly after the first employee’s start date.

Unemployment Insurance: Missouri’s Division of Employment Security administers unemployment insurance. New employers register through UInteract, the Division’s online portal. Income Tax Withholding: Because Missouri imposes a state income tax, every employer must register to withhold and remit state income taxes from employee wages. This obligation is satisfied through the same Department of Revenue combined registration used for sales tax and other business tax types.

Workers’ Compensation: Under RSMo § 287.030, Missouri employers with five or more employees must carry workers’ compensation insurance. Construction industry employers who erect, demolish, alter, or repair improvements must carry coverage when they have one or more employees. Missouri does not operate a state insurance fund; general employers’ coverage is obtained through private carriers. The Division of Workers’ Compensation within the Department of Labor and Industrial Relations oversees the program and handles claims administration.

New Hire Reporting: Federal and state law require every Missouri employer to report newly hired and rehired employees within 20 calendar days of the hire date.
